PR PRO - LICENSED APPLICATION END USER LICENSE AGREEMENT (EULA) / TERMS OF USE AGREEMENT

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and Loudon Point Ventures Corporation (“Licensor,” “we,” “us,” or “our”) governing your use of the PR Pro mobile application (“Licensed Application” or “App”). This agreement is solely between you and Licensor. Apple Inc. is not a party to this EULA and has no obligations hereunder; Licensor, not Apple, is solely responsible for the Licensed Application and its content.
By downloading, installing, or using the Licensed Application, you agree to be bound by the terms of this EULA. If you do not agree, do not use the App.
1. License Grant
Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Licensed Application on Apple-branded devices that you own or control, subject to the Usage Rules in the Apple Media Services Terms and Conditions (including Family Sharing, volume purchasing, and Legacy Contacts features where available).
You may not copy, distribute, sublicense, modify, reverse-engineer, disassemble, decompile, or create derivative works from the Licensed Application, except as permitted by applicable law or any open-source licenses included in the App.
2. Maintenance and Support
Licensor alone is responsible for providing any maintenance, support, or updates for the Licensed Application. Apple has no obligation to provide maintenance or support.
If the Licensed Application fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price. Apple’s warranty obligations are limited to such refund only.
3. Consent to Use of Data
By using the Licensed Application, you consent that Licensor may collect and use certain personal and technical data, including but not limited to contact information (such as email address, phone number, and name), user and device identifiers, and usage data related to your interaction with the App.
This data may be linked to your identity and used to provide, improve, maintain, and support the Licensed Application and related services.
Licensor handles your data in accordance with its Privacy Policy available at https://prproapp.com/privacy.
4. Termination
This EULA is effective until terminated by you or Licensor. Your rights under this EULA will terminate automatically if you fail to comply with any term. Upon termination, you must uninstall and delete the Licensed Application.
5. External Services
The Licensed Application may provide access to third-party services or websites (“External Services”). Use of such services is at your own risk. Licensor is not responsible for the content, accuracy, or availability of External Services and assumes no liability for any third-party content.
You agree to comply with all applicable third-party terms when accessing External Services.
6. Product Claims and Intellectual Property
Licensor, not Apple, is solely responsible for addressing any claims related to the Licensed Application, including product liability, regulatory compliance, intellectual property infringement, or consumer protection claims.
All intellectual property rights in the Licensed Application and related materials are owned exclusively by Licensor or its licensors. Apple does not claim any rights in the App or its content.
7. No Warranty
THE LICENSED APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Some jurisdictions may not allow the exclusion of certain warranties, so some exclusions may not apply to you.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION.
LICENSOR’S TOTAL LIABILITY SHALL NOT EXCEED FIFTY U.S. DOLLARS (USD 50.00), EXCEPT WHERE PROHIBITED BY LAW.
9. Export Compliance
You agree not to use, export, or re-export the Licensed Application except in compliance with all applicable export laws and regulations. You represent that you are not located in, under the control of, or a national of any restricted or embargoed country.
10. U.S. Government End Users
The Licensed Application and related documentation qualify as “Commercial Items” under 48 C.F.R. § 2.101 and are provided under commercial licensing terms applicable to U.S. Government users.
11. Governing Law and Dispute Resolution
This EULA is governed by the laws of the Province of Ontario, Canada, excluding conflicts-of-law principles.
Any disputes will be resolved exclusively through final and binding mediation in Toronto, Ontario. You waive the right to participate in class actions or jury trials.
12. Third-Party Beneficiary
Apple Inc. and its subsidiaries are third-party beneficiaries of this EULA and have the right to enforce its terms against you.
13. Additional Terms Specific to PR Pro
• App Description: PR Pro helps content creators discover brand ambassador programs, affiliate networks, and contact brands to pursue free merchandise or sponsored posts. The App provides program details, email templates, and brand contact information. Licensor does not guarantee any outcomes such as free products, paid sponsorships, or income generation.
• Eligibility: You must meet the minimum age requirement in your jurisdiction (typically 13 years old). You agree to comply with eligibility requirements for any programs accessed through the App.
• Subscriptions: PR Pro offers a three-day free trial. Afterward, a weekly Premium Subscription automatically renews at USD $2.99 (or equivalent) via your Apple ID. You may manage or cancel subscriptions via your Apple device settings.
• Prohibited Activities: You may not copy, distribute, sell, reverse-engineer, or modify the App. Licensor may suspend or terminate access for violations without refund.
• Third-Party Services: The App may integrate third-party services (e.g., email clients, analytics). Licensor is not responsible for their availability or policies.
• Device Compatibility: You are responsible for using devices that meet App requirements. Licensor is not liable for loss of functionality due to device issues.
• Updates: Terms may be updated; material changes will be notified via email or in-App. Continued use signifies acceptance.
• Privacy Policy: Use of the App is also governed by Licensor’s Privacy Policy at https://prproapp.com/privacy.
